That's the 5 billion bonanza to supply troops in Iraq, right? So they create this shell company to at least give the illusion of competitive bidding. But it's such a thin disguise, who are they really fooling? I googled the logcap contract, and KBR & IAP were the "competitors" for the contract. The depth & breadth of this Administration's criminality is still stunning to me. THANK YOU for all your great work exposing this corruption!


And here's one other Administration connection: Bush Treasury Sec. John Snow controls IAP. (But this probably isn't news to you!)

Halliburton challenged for Army contracts

WASHINGTON (AP)--A small defense contractor now controlled by former Treasury Secretary John Snow is taking on Halliburton Co. by bidding for one of three U.S. Army contracts worth up to $50 billion each to provide food and shelter to U.S. troops in Iraq and Afghanistan.

Within days of Snow becoming chairman of the New York hedge fund that owns IAP Worldwide Services Inc., the company submitted its bid for huge U.S. Army contracts that will be awarded by year-end.

Cerberus Capital Management LP owns Cape Canaveral, Florida-based IAP, which is led by former executives from Halliburton subsidiary Kellogg, Brown & Root.

Cerberus is scary. This hedge company has come out of nowhere to own over $24 billion dollars worth of assets; it's got 28+ companies & 100,000+ employees (more employees then Exxon). They specialize in snapping up "distressed businesses" - meaning bankrupt &/or struggling companies. Cerberus seems to have huge amounts of capital at its disposal - just in the last year, they bought Delphi (for $3.4 Billion), GM's financing company GMAC ($14 billion), Albertsons supermarkets ($17.4 billion), as well as numerous TV stations & government contractors. What's more, RUMSFELD is a major Cerberus investor. ("Defense Secretary Donald H. Rumsfeld was an investor in 2001, according to government ethics disclosures.") The amount of capital involved is mind-boggling - where is all this money coming from? Even Halliburton is regulated & has to file corporate records, but these hedge funds can operate in total secrecy & privacy, even while they swallow up billions of dollars worth of public property. In my tinfoil moments, I wonder if maybe Cerberus is Carlye - behind all the shells, they're both just huge money pots that allow powerful parties to funnel their wealth w/o public disclosure.

What's even scarier is how Cerberus is using all that money to buy politicians. The company was recently involved w/a big scandal involving Republican Rep. Jerry Lewis. Cerberus's contracting company had a $1 billion dollar contract to run the Navy/Marine's computer network. But the program had major problems - cost overruns, delays, shoddy work & management incompetence (Just like at Walter Reed). In 2002, the House Appropriations Comm. released a report criticizing the company, and voted to cut the contractor's funding by 10%. Lewis, the head of the Defense Appropriation subcommittee, also supported the cut & criticized the contractor's performance.

Suddenly, Cerberus launched a huge lobbying/bribery operation to stop the funding cut. They hired Patton Boggs to lobby the committee for over $1 million dollars. And Cerberus suddenly took a great interest in Lewis's career. In June 2003, Cerberus gave $110,000+ dollars to Lewis's PAC (Future Leaders PAC). The day after receiving this contribution, Lewis suddenly changed his mind. On June 16, Lewis suddenly decided to oppose the funding cut, and his Defense Appropriations subcommittee approved the full $1 billion contract.

Lewis then used this PAC money to fund other Republican's 2004 re-election campaigns & martial political support. He traveled WITH Cerberus executives to Cong. fundraising dinners & almost acted as their agent to direct contributions to other "favored" Republican Congressmen. A month later, in July 2003, Hastert appointed Lewis as the new "chief negotiator" on the 2004 Defense Bill. In that capacity, Lewis managed to increase Cerberus's Navy/Marine contract by another $600 million dollars. And one year later, the Republicans elected Lewis to be the new Chairman of the Appropriations Committee, the most powerful committee in Congress. Lewis stated that Cerberus's fundraising "played a very significant role" in his winning the post.

This is HUGH. Cerebus bribed Lewis to keep giving them gov. contracts, in spite of their incompetence, mismanagement and shoddy work. And then, Lewis used that money to buy influence & create power for himself. Appropriations Chairman is the most competitive position in Congress because the Chairman gets to decide who gets the lucrative pork projects. Republicans elected Lewis, because he was able to buy their vote w/all that Cerberus PAC money he was spreading around. And why did Hastert decide to appoint Lewis as the "chief negotiator" for that bill? Who did they bribe to cover up the Walter Reed negligence? We could find that Cerberus has bribed practically the entire Republican majority.

And here's another piece of the puzzle. Guess who was investigating Cerberus's contributions? CAROL LAM, the US Attorney who was just fired by the Bush Administration! After the USA Today story broke in 2006, a watchdog group asked the Justice Dept. to begin a criminal probe of Lewis & Cerberus. http://www.usatoday.com/news/washington/2006-01-19-lewis-cerberus_x.htm. Carol Lam, the US Attorney in charge of Lewis's southern CA district, opened a new investigation into Lewis & Cerberus a few months ago. She was fired days after asking the new Dem majority for documents related to this case.

In its secretive purge of key United States attorneys, the Bush administration is needlessly giving comfort to any number of individuals now under federal investigation. Most prominently, there is Representative Jerry Lewis, the California Republican whose dealings as appropriations chairman have been under scrutiny in the continuing investigation of lawmakers delivering quid pro quo favors for contractors and lobbyists.

U.S. Attorney Carol Lam of San Diego is one of a number of prosecutors (there’s no official tally) being forced from office without the courtesy of an explanation. A career professional, Ms. Lam ran a first-rate investigation of Randy Cunningham, the former Republican congressman from California, who admitted taking more than $2.4 million in bribes.

Ms. Lam then turned her attention to Mr. Lewis as she plumbed Congress’s weakness for “earmarks” — legislation that lawmakers customize on behalf of deep-pocketed campaign contributors. The focus moved to Mr. Lewis — who has denied any wrongdoing — after the disclosure that one of his staff aides became a lobbyist and arranged windfall contracts worth hundreds of millions.

Stymied by the previous Republican Congress, Ms. Lam was negotiating with the new Democratic leadership to obtain extensive earmarks documentation for her investigation when the administration forced her resignation.

Thanks, they do need to be regulated, and hopefully the new Dem Congress will take some action on these hedge funds. I have a couple questions, if you have time to answer.

1.) If IAP is actually owned by Cerebus, how can it be a Halliburton shell company? How would Halliburton benefit from Cerebus's profits? Is there some sort of relationship between the two companies? Could Cerebus also be an owner of Halliburton?

2.) I don't really understand how these hedge funds work. What, exactly, are they? I thought they were just investment companies, like a mutual fund, but Cerberus seems to actively own & operate all of these businesses. Where do you think all the billions of dollars are coming from to fund these operations?

You may have answered your own question.

I've been unfortunate enough in my work career to have been a "fly on the wall" in many executive suites. Most of them are privileged white boys born into the right families who have learned the right line of bullshit in their teens from their corporatist parents. Then their line of crap is "refined" at business school or in their summer "internships".

The majority of them are not intelligent enough to think their way out of a paper bag. I've met many more intelligent human beings in my dealings with working class Union folks than I ever did in the corporate suites.

They are almost uniformly upper-class elitist shits and aren't worth the powder to blow their asses to hell.

But they own the political system in this country....

47. He is from a very middle class family in a small midwest town.
While I do not know him personally I do know his parents and brothers. One brother is a high school teacher and another I belive works in marketing in a medium sized advertising company. His parents and brothers are quiet, unassuming, and very friendly. Not at all what you would envision.

Halliburton Announces Commencement of KBR Exchange Offer


14:05 EST Friday, March 02, 2007

HOUSTON (Business Wire) -- Halliburton Company (NYSE:HAL) today announced that it has commenced an offer to Halliburton's stockholders for the exchange of some or all of their shares of Halliburton common stock for shares of KBR, Inc. (NYSE:KBR) common stock held by Halliburton. The exchange offer will expire at 12:00 midnight, New York City time, on March 29, 2007 unless extended or terminated.

As previously announced, Halliburton has decided to dispose of its remaining interest in KBR by means of the exchange offer and, if necessary, a subsequent pro rata spin-off distribution of any remaining KBR shares to Halliburton's stockholders. The exchange offer and any subsequent spin-off distribution is expected to be tax-free to Halliburton stockholders for U.S. federal income tax purposes (except with respect to any cash received in lieu of a fractional share).

The exchange offer is designed to permit tendering stockholders to exchange their shares of Halliburton common stock for shares of KBR common stock at a 7.5% discount to the per-share value of KBR common stock, subject to a maximum exchange ratio of 1.5905 shares of KBR common stock per share of Halliburton common stock. Stated another way, for each $1.00 of Halliburton common stock accepted in the exchange offer, the tendering stockholder will receive approximately $1.08 of KBR common stock, subject to the maximum exchange ratio. The per-share values of Halliburton common stock and KBR common stock that will be used to calculate the final exchange ratio will equal the arithmetic average of the daily volume-weighted average prices for Halliburton common stock and KBR common stock, as applicable, on the New York Stock Exchange on the last three trading days of the currently anticipated exchange offer period, which are March 27, 2007, March 28, 2007 and March 29, 2007. Although those dates could change if the exchange offer is extended, including if a market disruption occurs, those dates will not change for purposes of calculating the per-share values if the exchange offer is automatically extended solely because the maximum exchange ratio is in effect as described below.

Subject to any extension by Halliburton or the possible automatic extension of the exchange offer due to a market disruption event, the final exchange ratio will be available by 4:30 p.m., New York City time, on March 29, 2007 at www.KBRexchange.com and from the information agent for the offering. If the maximum exchange ratio is in effect at that time, then the final exchange ratio will be fixed at the maximum exchange ratio and the exchange offer will be automatically extended until 12:00 midnight, New York City time, of the second following trading day to permit stockholders to tender or withdraw their Halliburton shares during those days. Any changes in the share prices of Halliburton common stock or KBR common stock on those additional days of the exchange offer will not, however, affect the exchange ratio.

Halliburton owns 135,627,000 shares of KBR common stock, or approximately 81% of the outstanding shares of KBR common stock. The largest possible number of shares of Halliburton common stock that will be accepted will be equal to 135,627,000 divided by the final exchange ratio. If the exchange offer is over-subscribed, tendering stockholders will be subject to proration (as applicable) and, accordingly, the number of shares Halliburton accepts in the exchange offer may be less than the number of shares tendered.

Halliburton's obligation to exchange shares of KBR common stock for Halliburton common stock is subject to the satisfaction of certain conditions, including the condition that a sufficient number of Halliburton shares are validly tendered and not withdrawn so that at least 40,688,100 shares of KBR common stock would be distributed in exchange for shares of Halliburton common stock.

Credit Suisse Securities (USA) LLC and Goldman, Sachs & Co. are serving as the dealer managers for the exchange offer.

30. You posted earlier about KBR, and I tried to wade through the filing.
Near as I could tell, Halliburton retains the profits. I couldn't figure out why financial managers would want to put the public's money into this. But, hey, I'm just a schmoe, so I could be wrong. But it does seem to me that there is a big issue with pension funds being redirected toward making the rich, richer instead of being there for working people when they retire.

Lot of work keeping up with all the crime. Thanks for what you're doing. I hope something breaks open soon.

I used to work with him -- no shit -- in the early nineties. He was a racist pig back then. I remember a day when he called oriental people "slant-eyes" right in earshot of a Taiwanese woman who worked with us. I said, flabergasted, "Dave, I can't believe you just said that. XXX is right over there." He said, "Oh, that's different. Her family was in Tianneman Square."

What a waste of carbon.

IAP President Dave Swindle Named to Army Science Board

Cape Canaveral, Florida – David Swindle, President of IAP Worldwide Services, Inc.,
has been appointed by the Secretary of the U.S. Army to the Army Science Board, an
advisory committee that provides Army leadership with independent, unbiased technical
advice on national security issues.

Swindle was appointed to a three-year term to the board, which includes members from
the private sector, academia, retired flag officers and representatives of government
agencies outside the Department of Defense. The board provides the Army with a
resource of scientists, engineers, technologists and operational experts as well as
business, policy and managerial specialists.

“Dave’s appointment to the Army Science Board is recognition of his broad experience
and credentials,” said IAP Chairman Dave Myers. “We are confident that his leadership
abilities and extensive knowledge will provide a solid complement to the expertise of its
distinguished members.”

Swindle, a registered professional engineer in seven states, has served as an advisor on
several governmental organizations. He currently is a member of the Department of
Energy’s Environmental Management Advisory Board, which provides advice regarding
the department’s environmental management program. He also has been an active
advisor on international nuclear safeguards and treaty verification.
