Buffett greases $11B Burger King-Tim Hortons deal


The new parent company is expected to be listed on the New York Stock Exchange and the Toronto Stock Exchange.

Brazilian private-equity firm 3G Capital Management will retain all of its investment in Burger King by converting its roughly 70 percent equity stake in the chain into equity of the new company. 3G Capital—which joined Buffett in last year's $23 billion takeover of H.J. Heinz—is expected to own approximately 51 percent of the new fast food company.
Burger King has obtained commitments for $12.5 billion of financing to fund the cash portion of the transaction, including commitments for a $9.5 billion debt financing package led by JPMorgan and Wells Fargo.

Amid speculation that the deal was motivated to save taxes by moving a U.S. company's headquarters to a foreign country, sources said the U.S. would receive at least as much in taxes, not less, because of the way the deal is structured. Those sources did not elaborate. Locating the new company's base in Canada was seen as a way to garner support from Canadian regulators, which tend to take a dim view of foreign acquirers, the sources said.

Tax analysts said churches and charities who receive such stock donations usually sell them, tax-free, for cash shortly after receiving them. Mormon church officials indicated this was the church's practice.
Tax analysts said the donation method used by Romney and Bain generally worked like this:
Romney was eligible to invest in the stock of companies that were being restructured by Bain. Romney and other Bain investors usually were able to purchase the stock at very low prices.
Through the years, such stock may appreciate in value, sometimes considerably.
The analysts said that if Romney and others at Bain got a stock cheap and eventually donated it to a church or charity without cashing in the stock, then they could get two tax benefits.

Churches and Non Profit have become Cash Cows for Diverting $Millions adding up to $Billions. Completely out of control are Not For Profit Hospitals to NFL Football Teems. Republicans idea of a good church is one that will pay ball getting parishioners to vote for those that donate millions. When they stopped most of the Pork they transferred the pork to cash from lobbyist bribery and Billionaires delivering straight to buying politicians.

But the number is much, much higher. It's in a range that really can't be calculated. You'll have to take my word... or not.

give all that money to the Turtleman's campaign. He's gonna lose anyway so no harm will be done.
